Our corporate practice involves representation and advice
to public and private clients throughout the United States in the
areas of mergers, acquisitions and dispositions of business entities,
assets, and divisions; negotiation of complex business agreements;
commercial and corporate finance transactions; venture capital
funding. Although our primary focus has been in providing these
services to our telecommunications clients, we have experience in
complex transactions representing clients in many diverse industries,
including the software, Internet, health care, oil and gas, and
manufacturing.
We also provide advice to public and private
business organizations throughout the United States, including
corporations, general partnerships, limited partnerships, limited
liability companies and sole proprietorships. Our attorneys counsel
clients in all phases of business development and continuation, such
as advice regarding the choice of business organization, choice of
jurisdiction, organizational documentation, state and federal
filings. We advise clients on the structure of business ventures and
all types of commercial and financial transactions and negotiations
and the drafting of all related documentation.
