Nowalsky (Partner)
Mr. Nowalsky has over twenty (20) years experience
in the field of telecommunications law and regulation. In 1985, Mr.
Nowalsky began working for Telemarketing Communications of America,
Inc., ("TMC") as general counsel. TMC was one of the first
true switched-based, multi-state telecommunications providers with
operations throughout the Mid-South. At TMC, Mr. Nowalsky was in
charge of all regulatory and general corporate matters of the company
and was lead counsel in TMC's mergers and acquisitions program.
In 1986, TMC, having grown to over $35,000,000 in
revenues in 2 1/2 years, was acquired by Satelco, a wholly owned
subsidiary of Advanced Telecommunications Corporation
("ATC"). From 1986 to1989, Mr. Nowalsky served as Chief
Regulatory Counsel for ATC and in 1987 was appointed interim General
Counsel in charge of all legal affairs of the Company. At ATC, Mr.
Nowalsky developed extensive knowledge regarding the operation of a
competitive long distance carrier and served as counsel to ATC in
five (5) acquisitions which propelled ATC's revenue to in excess of
$465 million.
In 1990, Mr. Nowalsky left ATC to set up a private
law practice specializing in telecommunications regulatory matters,
mergers and acquisitions and corporate law. In 1992, Mr. Nowalsky
joined forces with Benjamin W. Bronston to form Nowalsky &
Bronston, L.L.P. (now known as Nowalsky, Bronston & Gothard).
Since that time, Messrs. Nowalsky and Bronston have represented
clients in numerous past and pending acquisitions and corporate
finance transactions. In 1999 alone, Nowalsky, Bronston & Gothard
served as lead corporate and/or regulatory counsel in transactions
with an aggregate value of over $1 billion.
Mr. Nowalsky has previously served as a director of
the following companies: Network Long Distance, Inc., a long distance
company which was acquired by IXC Communications (now part of
Broadwing, NYSE: BRW) for $130 million; RFC Capital Corp., a
specialty finance company dedicated exclusively to the
telecommunications industry which was purchased in 1999 by TFC
Financial Corp., a division of Textron (NYSE: TXT); New South
Communications, a facilities-based competitive local exchange carrier
which recently received a $125 million investment from Kohlberg,
Kravis & Roberts (KKR); W2Com, LLC, a video conferencing and
distance learning provider which was recently acquired by Arel
Communications & Software, Ltd. (NASDAQ: ARLC) for $40 million;
and J.C. Dupont, a Louisiana-based oil and gas concern.
Mr. Nowalsky received a Bachelors degree from Tulane
University and a juris doctorate from Loyola Law School.
